Key Performance Outputs:

The successful candidate, reporting to the Company Secretary will be responsible for the following:

  • Ensure compliance to statutory requirements, Corporate Governance and Delegated Levels of Authority (DLA€™s) according to the Company€™s Governance Frameworks.
  • Drive and ensure Company Secretarial Governance and best practices are continually applied in managerial and administrative duties.
  • Drive and manage operational team performance through effective people management within the policies and procedures of the company to ensure achievement of the businesse€™s standards/objectives.
  • Provide direction and support to Directors and assist with induction, orientation and training, compiling year planner and work plans and developing Board Charters and Committee terms of reference for Board and Executive Committee (EXCO).
  • Responsible for the overall administration of Board and Committees meetings, e.g. arrange meetings, compile and distribute agendas, meeting packs, take minutes and follow up on action items.
  • Provide input to the annual report for Corporate Governance purposes and ensure that a copy of the annual financial statements has been logged with the relevant statutory bodies and also report on Committee decisions to the Board.
  • Build, support and maintain healthy internal and external Stakeholder Relations to ensure achievement of organisational goals.

Technical Skills and Experience:

The following skills and experience, or the equivalent of such, will be required:

The successful candidate must be in possession of a relevant Bachelor Degree, preferably a law degree supported by a minimum of 6 years professional experience as a Deputy Company Secretary or in the company secretariat environment for approximately 10 years.

A professional qualification from the Institute of Chartered Secretaries and Administrators SA (ICSA) is an added advantage.

This position requires someone with strong management and administrative skills and in-depth knowledge of Corporate Governance Principles, relevant Codes and Legislation, particularly the Companies Act, Public Finance Management Act and King III.

Quality Management and Presentation are viewed as critical in this role.
Knowledge and experience of MS Office applications is required.

The ideal candidate will have a strong drive to constantly achieve within a highly pressurized environment whilst maintaining focus on customer service and remain composed. The successful candidate will demonstrate exceptional written and verbal communication skills and problem solving skills combined with unquestionable decision making and negotiation ability. The successful candidate will portray outstanding planning ability and will know how to monitor work.
