MAIN PURPOSE
Provide support to EBU team in relation to commercial and legal related activities and also support Responsible Business Units.
To ensure finalisation of contracts in accordance with company requirements.
The role holder will be responsible for ensuring compliance with relevant company policies and procedures.
The role holder will be responsible for mitigating legal risk, in conjunction with Legal Affairs for Vodacom in the contracting process.

 

JOB OBJECTIVES
Provide support to EBU in relation to commercial and legal related activities and also support Responsible Business Units.
To participate in an advisory capacity in the Tender, Proposal and legal engagements
Perform contractual interpretation and governance in line with business processes
Co-ordinate contractual input from relevant divisions & departments of Vodacom
Provide expert opinion on structure of commercial agreements taking into account commercial requirements legal directives.
Determining the nature of the agreement/contract, and understanding the nature of the services and/or deliverables and the negotiated terms that needs to be included in the contract.
Write up of the appropriate contract/commercial agreement/s to be drafted and/or templates to be used
Effect renewal/amendments of contracts ensuring all services and projects are covered
–Prepare the appropriate contract/master agreement (-Master Business Agreement, Master Airtime Agreement, In Country Participation Agreement, Non Disclosure Agreements ect) based on instruction received or order notification
Prepare, manage & co-ordinate the drafting of the specific commercial terms applicable to each service and project
Co-ordinate and manage contract drafting process in conjunction with Group Legal based on instructions, approvals and requests
Work with Group services functions to assist in reviewing and providing comment/proposals on provisions falling outside the standard terms falling within their specific area of business.
Co-ordinate with Group Legal department to ensure that all relevant legal issues are identified and appropriate support is provided.
Identify and manage risks and assist in problem solving legal issues.
Identify areas of risk for the business, and assist in providing solutions to manage the risk with Legal Affairs.
Ensure that appropriate stakeholders are involved in the decision making process in relation to areas of risk.
Influence appropriate stakeholders to take the most appropriate course of action by ensuring they all have the appropriate information.
Establish and manage relationships with all stakeholders in relation to contracts and / or proposed contracts

Enterprise Contract Management System
Prepare the Contract Summary for Contract Approval Form that must accompany all contracts to ensure signature in accordance with the current Delegation of Authority
Compiles reports on contract progress to stakeholders if required
Maintain proper records of all Contracts through the appropriate Contract Management System
Maintain proper records of renewal dates of all Agreements
Manage & monitor progress of the approval of the contracts Deal with any queries / questions from the approvers in the DOA process
Ensure that fully signed contract is loaded on appropriate systems and lodged with Legal Affairs for safekeeping.
Assist in ensuring approval / signing of the Contract Approval Form & physical signature of the contract in accordance with the current DOA

Teamwork
Cooperate with the centralised Contract Management function
Promote knowledge sharing and experience with other members of the Contract Management team
Identify areas of risk for the business, and assist in providing solutions to manage the risk.
Provide regular reports and updates to the Responsible Business Units.
Provide support and assistance to other members of the Contract Management Team.

To prepare and assist in the negotiation of commercial contracts within the EBU
To review contracts and supporting documentation and facilitate amendments where required
Monitor and ensure contract finalisation, extension or renewal
Maintain contractual records and documentation on shared drive
Ensure contract status reporting to stakeholders

Establish and maintain long term working relationships with relevant stakeholders
Promote and ensure compliance with relevant legislation and company policies and procedures
To provide Legal Affairs with proper and comprehensive instructions
Understand internal stakeholders
Maintain visibility with internal stakeholders

5 yrs Experience in contract management(essential)
Experience in Telecoms industry
Negotiation skills
Effective verbal and written communication skills
Attention to detail
Relevant Contract Management experience and/or undergraduate qualification
3yr relevant degree/diploma in Commercial Law or equivalent.(essential)

OR
Grade 12
8 yrs contract management experience(essential)

OTHER
