Job Summary:
Regional Manger will be accountable for the implementation of strategic work plans and formulation of associated procedures to ensure the effective operational implementation of all Statucor service lines in the region; ensuring that regional targets are achieved

Main Duties and Responsibilities:
Functional Management:
•Consult and manage the Secretarial function, including the provision of support to client Boards and Sub-committees
•Consult and assist in client AGM Preparations (Draft Notices, Chairperson’s Script)
•Consult and provide advocacy to client Boards, Sub-committee members and Trustees as to their duties, responsibilities, and powers
•Ensure that relevant governance issues, either in terms of compliance or non-compliance are brought to the attention of the client Board
•Consult and ensure timeous distribution of all the documents required for client Board and Sub-Committee meetings
•Consult and draft client Board Charter, Sub-committees’ Terms of reference, and Annual work plans
•Consult and facilitate the annual submission of the Declaration of Interest forms by client Board and Sub-Committee Members
•Consult and ensure support is provided to clients and communication is managed
•Consult and facilitate client Annual Board and sub-committee Evaluation
•Manage the Annual Return process for clients based on Standard Operating Procedures
•Ensure that the statutory records of the client companies are set-up and accurately maintained and attend to the administrative control of information and documents
•Ensure the accurate drafting of Client Engagement Letters based on Standard Operating Procedures
•Ensure the accurate capturing of client take-on information and related documents on the CRM system
•Consult and provide advocacy on compliance related work for clients

Operational Management:
•Drive continuous innovation and optimisation by ensuring the development, alignment and implementation of end-to-end process and systems improvements in line with business requirements in the region
•Monitor and enforce the minimum standard requirements for Statucor staff and services as per the Service Level Agreements in the region
•Ensure optimal capacity and use of staff to meet objectives and deadlines, through effective delegation and scheduling of activities
•Ensure that all queries from clients and staff are addressed and resolved as per the Standard Operating Procedures and Service Level Agreements, and/or refer queries to the relevant stakeholders.
•Ensure the compilation and review of branch reports and statistical control metrics, to measure success and inform the business decision-making process
•Ensure that filing is done accurately and timeously

Risk and Compliance Management:
•Assist in identifying and adhering to fraud controls, risk prevention principles, sound governance and compliance processes, and tools to identify and manage risks
•Support and provide evidence to all internal and external audit requirements
•Maintain and enforce all quality assurance related Service Level Agreements to minimise business risk and ensure business continuity
•Ensure adherence to all relevant laws, policies, and Standard Operating Procedures throughout the organisation in the Branch

Financial Management:
•Review proposals, invoices, credit notes, travel claims and submit for approval
•Provide input in the planning and compilation of the Branch’s annual budget aligned to the delivery plans to support the implementation of set objectives
•Ensure the effective implementation, management, monitoring of the Branch’s budget where relevant, and mitigate and report on any variances
•Ensure the deployment of proper financial controls to manage the sub-divisional budget
•Report on and communicate any costs improvements and shortfalls
•Attend Debtors Meetings and follow-up on debtors in collaboration with BDO Finance
• Oversee the payments for services rendered by CIPC

People Management:

•Lead the implementation of talent acquisition, succession planning, development, and retention strategies for the division

•Lead and drive a high-performance culture by translating and communicating the annual performance goals and measures based on agreed upon objectives

Stakeholder Management:
•Identify and mitigate internal systems and procedural barriers to enhance excellent customer service
•Build and maintain effective internal and external stakeholder relationships for the purpose of expectations management, knowledge sharing and integration, and to manage Statucor’s reputation
•Represent and participate in the organisation’s committees and tasks teams when required
•Convene and attend meetings and present findings and business cases to relevant stakeholders when required
•Implement timeous communication on progress and challenges in achieving the tactical work plans to impacted stakeholders

Requirements:
Qualifications & Requirements:
•Diploma in Board Secretarial and/or Compliance
•2-3 Years as supervisor/manager
•4-5 Years in Board Secretarial and/or Compliance
•Member of the Institute of Chartered Secretaries and Administrators or similar professional body
