MAIN PURPOSE
\nProvide support to EBU team in relation to commercial and legal related activities and also support Responsible Business Units.
\nTo ensure finalisation of contracts in accordance with company requirements.
\nThe role holder will be responsible for ensuring compliance with relevant company policies and procedures.
\nThe role holder will be responsible for mitigating legal risk, in conjunction with Legal Affairs for Vodacom in the contracting process.<\/p>\n

JOB OBJECTIVES
\nProvide support to EBU in relation to commercial and legal related activities and also support Responsible Business Units.
\nTo participate in an advisory capacity in the Tender, Proposal and legal engagements
\nPerform contractual interpretation and governance in line with business processes
\nCo-ordinate contractual input from relevant divisions & departments of Vodacom
\nProvide expert opinion on structure of commercial agreements taking into account commercial requirements legal directives.
\nDetermining the nature of the agreement\/contract, and understanding the nature of the services and\/or deliverables and the negotiated terms that needs to be included in the contract.
\nWrite up of the appropriate contract\/commercial agreement\/s to be drafted and\/or templates to be used
\nEffect renewal\/amendments of contracts ensuring all services and projects are covered
\n\u2013Prepare the appropriate contract\/master agreement (-Master Business Agreement, Master Airtime Agreement, In Country Participation Agreement, Non Disclosure Agreements ect) based on instruction received or order notification
\nPrepare, manage & co-ordinate the drafting of the specific commercial terms applicable to each service and project
\nCo-ordinate and manage contract drafting process in conjunction with Group Legal based on instructions, approvals and requests
\nWork with Group services functions to assist in reviewing and providing comment\/proposals on provisions falling outside the standard terms falling within their specific area of business.
\nCo-ordinate with Group Legal department to ensure that all relevant legal issues are identified and appropriate support is provided.
\nIdentify and manage risks and assist in problem solving legal issues.
\nIdentify areas of risk for the business, and assist in providing solutions to manage the risk with Legal Affairs.
\nEnsure that appropriate stakeholders are involved in the decision making process in relation to areas of risk.
\nInfluence appropriate stakeholders to take the most appropriate course of action by ensuring they all have the appropriate information.
\nEstablish and manage relationships with all stakeholders in relation to contracts and \/ or proposed contracts<\/p>\n

Enterprise Contract Management System
\nPrepare the Contract Summary for Contract Approval Form that must accompany all contracts to ensure signature in accordance with the current Delegation of Authority
\nCompiles reports on contract progress to stakeholders if required
\nMaintain proper records of all Contracts through the appropriate Contract Management System
\nMaintain proper records of renewal dates of all Agreements
\nManage & monitor progress of the approval of the contracts Deal with any queries \/ questions from the approvers in the DOA process
\nEnsure that fully signed contract is loaded on appropriate systems and lodged with Legal Affairs for safekeeping.
\nAssist in ensuring approval \/ signing of the Contract Approval Form & physical signature of the contract in accordance with the current DOA<\/p>\n

Teamwork
\nCooperate with the centralised Contract Management function
\nPromote knowledge sharing and experience with other members of the Contract Management team
\nIdentify areas of risk for the business, and assist in providing solutions to manage the risk.
\nProvide regular reports and updates to the Responsible Business Units.
\nProvide support and assistance to other members of the Contract Management Team.<\/p>\n

Impact on the business
\nTo prepare and assist in the negotiation of commercial contracts within the EBU
\nTo review contracts and supporting documentation and facilitate amendments where required
\nMonitor and ensure contract finalisation, extension or renewal
\nMaintain contractual records and documentation on shared drive
\nEnsure contract status reporting to stakeholders<\/p>\n

Budget holders, supplier and third party
\nEstablish and maintain long term working relationships with relevant stakeholders
\nPromote and ensure compliance with relevant legislation and company policies and procedures
\nTo provide Legal Affairs with proper and comprehensive instructions
\nUnderstand internal stakeholders
\nMaintain visibility with internal stakeholders<\/p>\n

\nImprovement and standardisation of contracting process
\nDevelopment and finalisation of templates
\n5 yrs Experience in contract management(essential)
\nExperience in Telecoms industry
\nNegotiation skills
\nEffective verbal and written communication skills
\nAttention to detail
\nRelevant Contract Management experience and\/or undergraduate qualification
\n3yr relevant degree\/diploma in Commercial Law or equivalent.(essential)<\/p>\n

OR
\nGrade 12
\n8 yrs contract management experience(essential)<\/p>\n

OTHER
\n*Please note that the onus lies with the candidate to provide Vodacom with substantial evidence to prove that his\/her qualification is equivalent to the required NQF (National Qualifications Framework) level for the specific position<\/p>\n
