\nBoard support consultant is expected provide guidance and assistance to client Boards, on their Compliance and Governance to ensure that companies and Boards are compliant in terms of the relevant laws and regulations; supporting the promotion of business in order to achieve annual targets to support the organisation\u2019s strategic objectives<\/p>\n
\nFunctional Management
\n\u2022Ensure compliance of the provisions of Companies Law and rules made thereunder and other statutes and bylaws of client companies
\n\u2022Provide advocacy to clients on King IV best corporate governance practice
\n\u2022Monitor changes in relevant legislation and the regulatory environment and take appropriate action
\n\u2022Sort and file various documents and\/or returns as required under the provisions of the Companies Act
\n\u2022Coordinate and facilitate accurate and timeous administration of client company records and registers including the lodgement of all documents with CIPC and the maintenance and updating of client company registers
\n\u2022Maintain books and registers of client companies as required under the provisions of the Companies Act
\n\u2022Ensure that legal requirements of the allotment, issuance and transfer of share certificates has been complied with for clients
\n\u2022Maintain relevant statutory books as and when required for clients
\n\u2022Consult and liaise with external regulators and advisers, such as CIPC, Auditors and the Master of the High Court
\n\u2022Coordinate and deal with all correspondence between client companies and their shareholders
\n\u2022Prepare board resolutions, taking minutes, lodging required forms and annual returns with CIPC for clients
\n\u2022Prepare and organise agendas and papers for client Board meetings, committees and annual general meetings (AGM\u2019s)
\n\u2022Ensure the distribution of client annual meeting work plans and meeting packs
\n\u2022Advise and attend client meetings to ensure that the legal requirements are fulfilled and provide such information as required
\n\u2022Prepare and follow-up on matters arising from the client\u2019s meetings attended
\n\u2022Prepare Board Evaluation Questionnaires tailored for specific clients
\n\u2022Draft client company Board Evaluation Reports for circulation
\n\u2022Analyse and prepare Focus Area Reports for clients based on the Board Evaluation Outcome
\n\u2022Review and draft Committee Charters as required for clients
\n\u2022Prepare proposals to new prospective clients
\n\u2022Prepare and follow up on engagement letters
\n\u2022Analyse and respond timeously to emails from clients and relevant stakeholders
\n\u2022Prepare Billing Sheet Schedule and Invoices as required<\/p>\n
\n\u2022Adhere to all relevant laws, policies and Standard Operating Procedures throughout the organisation
\n\u2022Assist in identifying and adhering to fraud controls, risk prevention principles, sound governance and compliance processes, and tools to identify and manage risks
\n\u2022Support and provide evidence to all internal and external audit requirements
\n\u2022Maintain and enforce all related Service Level Agreements to minimise business risk and ensure business continuity<\/p>\n
\n\u2022Identify and mitigate internal systems and procedural barriers to enhance excellent customer service
\n\u2022Build and maintain effective internal and external stakeholder relationships for the purpose of expectations management, knowledge sharing and integration, and to manage Statucor\u2019s reputation
\n\u2022Represent and participate in the organisation\u2019s committees and tasks teams when required
\n\u2022Implement timeous communication on progress and challenges in achieving the tactical work plans to impacted stakeholders
\n\u2022Drive and manage the stakeholder communications with the selected stakeholders<\/p>\n
