Vacancy Details

We have an exciting opportunity available with one of our clients in the Hospitality and Gaming industry for a LEGAL ADVISOR. In this role, you’ll be responsible for reviewing, drafting and negotiating business contracts and providing legal advice to the Central Hospitality and Gaming segments and management teams relating to the following business functions, namely the Central Sports, Events & Entertainment, Central F&B, Central Finance, Central Procurement, B-BBEE fronting investigations and E&SD Committee representative, and Central Internal Audit to ensure that the legal agreements, matters and advice in relation to the Company’s dealings with external business partners are legal and comply with the Group policies and procedures in a manner which fully protects the businesses legal and commercial interests. Identify, manage, mitigate, and provide recommendations against all associated legal risks and escalates same to the Senior Legal Advisor for assessment. Assisting with the review, amendment and/or drafting of Group policies, procedures, and templates across the business area functions within areas of responsibility to minimise legal risks.

JOB SCOPE & RESPONSIBILITIES:

  • Acting as an enabler and facilitator to support and oversee the contracting process as executed by the departmental contracting champions via the contracting management system and provide contract support for internal stakeholders to obtain business objectives across the business area functions within areas of responsibility.
  • Assist with drafting and revision of templates (inclusive of contracts, due diligence, and scoping related documents), and the Group policies, standard operating procedures, and related governance documents to reflect current legal trends and amendments to business requirements, legislation, and mitigation of legal risks identified.
  • Any risk identified per the above is reported and escalated to the Senior Legal Advisor and where appropriate and required to the Central Exco team under supervision.
  • Research, keep up to date with, analyse and investigate case law and legislation relating to corporate, commercial, company, sports betting, and contract law relative to legal concern and structure proposed remedies and provide solutions to legal issues identified as escalated to the Senior Legal Advisor.
  • Drafts legal documents checklists, scoping documents, contracts, correspondence, undertakings, opinions (written, verbal, formal and/or informal), memoranda, and other briefing documents as required by business including as it pertains to operational contracts, due diligence investigations, structuring and closure of transactions, all of which are required to be valid, aligned to business requirements, and the Company’s legal and commercial interests in line with the company Group policies and procedures.
  • Assist with the preparation for and attend attorney meetings in terms of contract negotiations and assist with guiding management on taking appropriate decisions with the assistance of the Senior Legal Advisor across the multiple business areas within its areas of responsibility.
  • Ability to produce consistent high-quality work under pressure whilst maintaining efficient turnaround times that is relevant, understood and easily applied within the business environment, and understands and is able to impart knowledge on relevant legal issues and subject matters at all levels within the business.
  • Responsible for the coordination, facilitation and management of legal document management pertaining to mergers and acquisition matters, including in respect of compiling, of and coordination of due diligence requests and virtual dataroom management.
  • Cultivate and manage working relationships with a variety of internal and external stakeholders of the company group.
  • Contribute towards the Central Legal report submitted to the executive committee meetings.
  • Provide legal training and development in terms of gaps identified to business and provide knowledge transfer to junior team members.


QUALIFICATION AND EXPERIENCE:

Qualification:

  • LLB Degree and Admitted as an Attorney.


Experience:

  • Minimum 5 years post-articles qualification in a law firm or corporate legal advising position, including corporate legal advising, managing relationships with business partners, exposure and experience in contract, company, and commercial law, and ability to manage multiple complex tasks effectively and efficiently with extensive consistent experience in independent contract drafting and negotiation.
  • Experience in mergers and acquisitions would be an advantage.


Work conditions and special requirements:

  • May be required to work outside of normal working hours, in line with operational requirements (including weekends, public holidays).

  • Analyse and diagnose challenges and manage relevant strategies to protect and optimise agreements to support business requirements.
  • Working within broadly defined policies and objectives, deal with diverse problems across multiple business touchpoints, using judgment and discretion to resolve them.

PACKAGE & REMUNERATION:

  • Compensation will be determined based on qualifications, applicable experience, and previous earnings.
